By downloading, installing, or using OpenTeddy, you agree to be bound by these Terms of Service.
If you do not agree to these terms, do not use the software.
2. Product Offerings
OpenTeddy offers three tiers:
OpenTeddy Desktop — $99
- One-time purchase: $99 USD via Stripe (credit card, Apple Pay)
- Includes current version updates (not lifetime updates)
- License: Tied to your Firebase account (Google/Apple login)
- Device limit: Up to 2 devices per license
- Device management: You can remove and reassign devices
- Refund policy: 7-day refund window (see Refund Policy)
OpenTeddy Core (Free)
- MIT License: Free and open-source
- Basic functionality for developers and DIY users
- No purchase required, no license key needed
- Community support via GitHub

Enterprise
3. No Warranty
OpenTeddy is provided "AS IS", without warranty of any kind, express or implied, including but not limited to:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
The developers make no guarantees about the software's performance, reliability, accuracy, or suitability for your needs.
4. Limitation of Liability
In no event shall the authors or copyright holders be liable for any claim, damages, or other liability,
whether in an action of contract, tort, or otherwise, arising from, out of, or in connection with the software
or the use or other dealings in the software.
This includes but is not limited to:
- Data loss or corruption
- System failures or crashes
- Security breaches
- Financial losses from API usage costs
- Errors in code execution or generated skills
5. Core Positioning
OpenTeddy is built on these principles:
- Own your AI: You control your data and models
- Zero token cost: Run locally with no per-token fees (when using local models)
- 100% private: All processing happens on your machine
- Flexible: Use any model (Ollama, Anthropic, or custom)
6. User Responsibilities
When using OpenTeddy, you are responsible for:
- Security: Protecting your license key, API keys, credentials, and sensitive data
- Compliance: Ensuring your use complies with applicable laws and regulations
- Backups: Maintaining backups of important data and files
- Review: Reviewing and approving high-risk commands before execution
- Monitoring: Monitoring the agent's actions and outputs
- License usage: Not sharing your license key with others
7. Payment and Billing (Desktop)
- Payment processor: Stripe
- Accepted methods: Credit card, Apple Pay
- Processing fees: Approximately 3-5% (handled by Stripe)

8. License Activation and Management (Desktop)
- License keys are tied to your Firebase account (Google or Apple login)
- Each license allows activation on up to 2 devices
- You can deactivate a device to free up a slot for another device
- License keys are non-transferable between accounts
- Sharing or reselling license keys is prohibited and may result in deactivation
9. Third-Party Services
OpenTeddy integrates with third-party services (Anthropic, Ollama, etc.). Your use of these services is governed by their respective terms:

10. Autonomous Code Execution
OpenTeddy can execute code and shell commands autonomously. You acknowledge and accept that:
- The agent may make mistakes or execute unintended commands
- You should review high-risk commands before approval
- You are responsible for any consequences of code execution
- The "Local-Only Mode" can be used for sensitive operations
11. Data and Privacy
By using OpenTeddy, you acknowledge that:
- Most data is processed and stored locally on your machine
- Some data may be sent to Anthropic Claude API during escalation (unless Local-Only Mode is enabled)
- You are responsible for protecting sensitive data and credentials

12. Prohibited Uses
You may not use OpenTeddy to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Generate malicious code or malware
- Attack, compromise, or harm other systems
- Process data you do not have rights to use
- Bypass security measures or access controls
13. Updates and Modifications
OpenTeddy Desktop includes current version updates:
- Bug fixes and security patches for the current major version
- Minor feature improvements and optimizations
- Major version upgrades may require a new purchase
- We are not obligated to maintain backward compatibility
OpenTeddy Core (free) receives updates at our discretion with no guaranteed schedule.

OpenTeddy Core (Free):

- No guaranteed response time or support
Supporting the Project:

- Support contributions do not grant additional features, priority support, or Desktop access
- Support is voluntary and appreciated but not required
15. Termination
You may stop using OpenTeddy at any time by uninstalling the software and deleting associated data.
These terms remain in effect for any past use of the software.
16. Governing Law
These terms shall be governed by and construed in accordance with the laws of the jurisdiction
where the software is used, without regard to conflict of law principles.
17. Changes to Terms
We may update these Terms of Service from time to time. Continued use of the software after changes
constitutes acceptance of the new terms.
18. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full effect.
